These Terms & Conditions ("Terms") govern your use of InstantCarBid.com, operated by ICB Tech Solutions LLC ("we," "our," "us"). By using this website or submitting a vehicle offer request, you agree to these Terms.

1. Our service

Instant Car Bid connects private vehicle sellers with a network of state-licensed, bonded dealers and buying centers. We are not the final purchaser of every vehicle; purchases are completed by licensed dealers within our network. Each buying center may have slightly different policies, and your assigned buyer will confirm the exact terms that apply to your transaction.

2. Offers and inspections

All offers are estimates based on the information you provide and current market data, and are subject to a visual inspection of the vehicle. If the vehicle's actual condition differs from what was described, the final offer may change. Offers are valid for a limited time and may expire or be adjusted based on market conditions.

3. CarMax offer guarantee

Our commitment to beat CarMax offers applies to valid, written, in-store CarMax offers that are still valid at the time our buyer bids your vehicle. Proof of the written offer is required.

4. Loan payoffs

Where applicable, loan payoffs of up to $100,000 are sent to your lender within 10 business days of completing your transaction. Posting times depend on your lender. If your payoff amount exceeds the agreed purchase price, you are responsible for the difference unless other arrangements are agreed in writing.

5. Title and ownership

You represent that you are the legal owner of the vehicle (or authorized to sell it) and that all information you provide is accurate. Title transfer and liability removal are completed as part of the purchase process by the licensed dealer.

6. Communications consent

By submitting your phone number, you agree that Instant Car Bid, operated by ICB Tech Solutions LLC, and the participating dealer or buying center handling your request may call and send text messages to that number, including messages sent using automated technology, about your offer request and vehicle sale. Consent is not a condition of any purchase or sale. Message frequency varies. Message and data rates may apply. Reply STOP at any time to opt out of texts or HELP for help. You may also opt out of calls by telling us or the dealer that you no longer wish to be contacted.

7. Estimates and automated tools

Online estimates, price ranges, and photo-based or automated appraisals are generated from the information you provide, market data, and automated tools, including artificial intelligence. They may be incomplete or inaccurate, are not appraisals, and are not a binding offer. Only a written offer from a participating dealer after inspection is an offer to purchase your vehicle.

8. Who you are dealing with

ICB Tech Solutions LLC provides the technology that connects you with participating dealers. We are not a dealer, broker, or party to your sale, and we do not purchase vehicles or make payments or loan payoffs. The participating dealer that buys your vehicle is responsible for its offer, inspection, payment, title transfer, and any loan payoff, and for the commitments described in Sections 2 through 5 as they apply to your transaction.

9. Your information

We share the information you submit with participating dealers so they can respond to your request, and we handle it as described in our Privacy Policy. You agree that the information you provide is accurate and that you have the right to provide it.

10. No warranty

The website and services are provided "as is" and "as available" without warranties of any kind, express or implied, to the fullest extent permitted by law. We do not guarantee that an offer will be made for every vehicle, that any offer will be a particular amount, or that the website will be uninterrupted or error-free.

11. Limitation of liability

To the maximum extent permitted by law, ICB Tech Solutions LLC and its members, managers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or data, arising from your use of the website or services, and our total liability for any claim shall not exceed one hundred dollars ($100). Nothing in these Terms limits any liability that cannot be limited under applicable law.

12. Your responsibilities

You agree to indemnify and hold harmless ICB Tech Solutions LLC from claims, losses, and expenses (including reasonable attorneys' fees) arising from inaccurate information you provide, your misuse of the website, or your violation of these Terms or the rights of others.

13. Dispute resolution and arbitration

Please read this section carefully. Except for claims that qualify for small-claims court, any dispute between you and ICB Tech Solutions LLC arising out of or relating to these Terms, the website, or the services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, and not in court. The arbitration may take place by video or in the county where you live. You and we each waive the right to a jury trial and to participate in a class action or other representative proceeding. You may opt out of this arbitration agreement by emailing [email protected] within 30 days after you first submit a request through the website, stating your name and that you opt out of arbitration.

14. Governing law; changes

These Terms are governed by the laws of the State of Texas, except where the law of your state of residence requires otherwise. We may update these Terms from time to time. Changes apply only to use of the website after the updated Terms are posted with a new effective date, and they do not change the terms of any transaction already in progress.
